By accessing or using Maxi.io (“Service,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Service.

2. Description of Service

Maxi.io is a personal growth and goal-tracking platform that helps users set, track, and achieve their goals through AI-powered insights, habit tracking, periodic reviews, and journaling features.

3. User Accounts

3.1 Account Creation

To use our Service, you must create an account by providing accurate and complete information. You may sign up using email/password or through third-party authentication providers (Google, GitHub, Apple).

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

3.3 Age Requirements

You must be at least 16 years old to use our Service. By creating an account, you represent that you meet this age requirement.

4. User Content and Conduct

4.1 Your Content

You retain ownership of any content you create or upload to the Service, including goals, habits, journal entries, and action items (“User Content”). By using our Service, you grant us a limited license to store, process, and display your User Content as necessary to provide the Service.

4.2 Content Restrictions

You agree not to use our Service to create, upload, or share content that:

• Is illegal, harmful, threatening, abusive, or harassing
• Infringes on intellectual property rights of others
• Contains viruses, malware, or other harmful code
• Violates the privacy or rights of others
• Is spam or unsolicited promotional material

4.3 AI-Generated Content

Our Service uses AI (Artificial Intelligence) to provide insights, suggestions, and assist with goal setting. AI-generated content is provided as guidance only and should not be considered professional advice. You are responsible for evaluating and using AI-generated content appropriately. While you own your original inputs, the AI-generated output is licensed to you for use within the Service.

4.4 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Attempting to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Service.
• Using any automated system, including robots, spiders, or scrapers, to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
• Reverse engineering, decompiling, or otherwise attempting to discover the source code of the Service.
• Using the Service for any commercial solicitation purposes without our prior written consent.

5. Subscriptions and Payments

5.1 Free and Paid Plans

We offer both free and paid subscription plans. Features, usage limits, and pricing are subject to change with reasonable notice.

5.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method for the applicable fees.

5.3 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial subscription periods, except as required by law.

5.4 Price Changes

We reserve the right to change our pricing. We will provide notice of price changes and you will have the opportunity to cancel before the new price takes effect.

5.5 Fair Use Policy

To ensure a high-quality experience for all users, our subscription plans are subject to a fair use policy. We reserve the right to limit or suspend access for users who engage in excessive use of AI features or other resources that negatively impacts the Service's performance or availability for others.

5.6 Apple App Store Subscriptions (iOS)

For subscriptions purchased through the Apple App Store:

• Payment will be charged to your iTunes Account at confirmation of purchase
• Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage your subscriptions and turn off auto-renewal by going to your App Store Account Settings after purchase
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription

6. Intellectual Property

6.1 Our Rights

The Service, including its design, features, software, and content (excluding User Content), is owned by us and protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use. This license does not include any right to resell or commercial use of the Service or its contents.

6.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback for any purpose without any obligation or compensation to you.

8. Service Availability and Modifications

You may terminate your account at any time by deleting your account from the settings page. Upon termination, your User Content will be deleted within 30 days.

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary to protect our Service or other users.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.

10.1 No Professional Advice

The Service is not intended to provide professional advice (medical, psychological, financial, legal, or otherwise). Content provided through the Service, including AI-generated suggestions, is for informational purposes only.

10.2 “As Is” Basis

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Maxi.io and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

13. Governing Law and Disputes

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal and applicable European Union regulations, without regard to conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Faro, Portugal.

13.3 EU Consumers

If you are a consumer located in the European Union, you may also have the right to bring disputes before the courts of your country of residence and benefit from mandatory consumer protection laws.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the “Last updated” date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
